VACABEE WAITLIST TERMS AND CONDITIONS


Effective Date: June 12, 2025


Welcome to the Vacabee Waitlist! By joining our waitlist and reserving your spot for early access to Vacabee and Mr. Bee (our AI-powered personal concierge), you agree to the following Terms and Conditions. These terms form a legally binding agreement between you ("you," "your") and MSG Solutions USA, LLC and its affiliates ("MSG," "we," "our," or "us").



1. Purpose of the Waitlist

By joining the Vacabee Waitlist, you are reserving early access to our upcoming services, including our AI concierge, travel discounts, and curated lifestyle benefits. Placement on the waitlist does not guarantee access, and actual launch dates and availability are subject to change at our sole discretion.

If you are one of the first 1,000 to join, you will be eligible to receive a lifetime 20% discount on select Vacabee membership plans. These benefits are contingent on your timely activation when invited.



2. No Fee for Waitlist Signup

Joining the waitlist is free for early users. Vacabee may, at its discretion, introduce pricing or limited-time offers for users joining the waitlist later.



3. Membership Tiers & Benefits (Upon Launch)

Upon launch, you may have the option to enroll in one of our membership tiers:

  • B2C Premium Membership

  • B2C Mas Traveler Membership

  • B2B Membership

Each tier comes with exclusive access to:

  • Travel discounts and rewards ("Travel Benefits")

  • Mr. Bee, your AI lifestyle and travel assistant ("Travel Coach")

Further details on benefits, pricing, and automatic renewal will be made available at launch. For now, signing up places you in line to receive access and promotional offers.



4. Your Data & Communications Consent

By submitting your information, you agree that we may:

  • Use your data to inform you about Vacabee product launches, updates, and offers

  • Send promotional emails, SMS, and calls (including automated messages) unless you opt out

  • Share necessary information with our trusted partners such as Arrivia, Inc. for the purpose of fulfilling program features

5. Eligibility

To join the waitlist, you must be:

  • At least 18 years old

  • A resident of a country not currently sanctioned by the United States OFAC

  • Not listed on OFAC’s Specially Designated Nationals list

Using a VPN to bypass these restrictions is prohibited. MSG reserves the right to remove any individual from the waitlist who does not meet eligibility.



6. No Obligation or Guarantee

Signing up for the waitlist does not:

  • Create a contractual relationship for services or products

  • Guarantee access, specific launch dates, or benefits

  • Obligate you to make any payment unless you choose to subscribe upon official launch



7. Limitation of Liability

MSG SHALL NOT BE LIABLE FOR ANY LOSS, DAMAGE, DELAY, DEATH, OR INJURY TO PERSON OR PROPERTY ARISING FROM OR AS A RESULT OF THE ACTS, OMISSIONS, AND/OR REPRESENTATIONS (WHETHER ORAL OR WRITTEN) OF ANY SUPPLIER OR ANY OTHER THIRD PARTY, INCLUDING BUT NOT LIMITED TO SUPPLIERS OF TRAVEL PRODUCTS AND SERVICES. IN NO EVENT WILL MSG, ITS AFFILIATES, SUCCESSORS, ASSIGNS, OR SUPPLIERS BE LIABLE TO YOU FOR INDIRECT, SPECIAL, CONSEQUENTIAL, INCIDENTAL, EXEMPLARY, OR PUNITIVE DAMAGES, WHETHER ARISING IN CONTRACT, TORT, NEGLIGENCE, OR ANY OTHER CAUSE OF ACTION, AND REGARDLESS OF WHETHER MSG HAS BEEN NOTIFIED OF THE POSSIBILITY OF SUCH DAMAGES.



8. Disclaimer of Warranties

The Program, Waitlist Benefits, and any related services are provided to you "as is." MSG makes no representation or warranty of any kind, express or implied, regarding the operation of Vacabee, the availability of benefits, and/or the accuracy or completeness of any materials or services. MSG disclaims all implied warranties including merchantability, fitness for a particular purpose, or non-infringement.



9. Arbitration; Class Action Waiver

Any dispute not resolved informally will be submitted to binding arbitration under the Federal Arbitration Act and the American Arbitration Association’s rules. Arbitration must occur in the state and county of MSG's headquarters. Class actions and consolidated proceedings are not permitted. If any portion is found unenforceable, this section becomes void.



10. Governing Law

These Terms shall be governed exclusively by the laws of the State of Florida, without regard to its conflict of law principles.



11. Attorney's Fees

If MSG prevails in any legal action relating to these Terms, it may recover all related costs, including reasonable attorney's fees.



12. Telephonic Communications & Consent to Contact

By providing your contact info, you consent to receive phone calls or text messages, including automated or pre-recorded ones, unless you opt out. You agree not to provide numbers you do not own or control. You can revoke this consent by contacting support or texting STOP. You may incur charges from your provider.



13. Your Indemnification Obligations

You agree to indemnify MSG from any losses or claims arising from your violation of these terms or misuse of provided services, including but not limited to claims related to the Telephone Consumer Protection Act.



14. Travel Sanctions & Compliance

MSG complies with U.S. OFAC sanctions and does not offer services to individuals or entities in Cuba, Iran, North Korea, Syria, Russia, Ukraine, or to anyone listed on the SDN list. Verification may be required before enrollment.



15. Modifications

MSG may modify these Terms at any time. Updates will be posted on https://vacabee.com and are effective upon posting.



16. Severability

If any provision of these Terms is held unenforceable, the rest shall remain in effect.



17. Assignment

You may not transfer your waitlist position, benefits, or these Terms to another party without MSG’s prior written consent.
